Confidentiality Terms

[Your Company Name] ("we") may share confidential information with you so you can [work with us / evaluate our idea / do the work we've agreed on]. By signing below, you agree to these terms from the date you sign.

1. What's confidential. Anything non-public we share with you about our business, products, ideas, code, customers, finances, or plans, whether written, spoken, or shown to you, plus any notes or work you make from it.

2. What isn't. Information that's already public through no fault of yours, that you already knew, or that you received lawfully from someone else.

3. What you agree to. Use it only for the purpose above, don't share it with anyone without our written permission, and take reasonable care to keep it private.

4. Required disclosure. If a law or court requires you to disclose something, tell us first, where you're allowed to.

5. Returning information. When we ask, or when our work together ends, return or delete everything you have.

6. Ownership. Our information stays ours. Signing doesn't give you a license or a promise of future work.

7. Term. These duties last [3] years after you sign [and, for trade secrets, for as long as they remain trade secrets].

8. Governing law. [Your state, province, or country].

Need someone to keep your business information private before you share it? The One-Way NDA Form Template gives you a non-disclosure agreement that employees, contractors, freelancers, job candidates, investors, or beta testers can read and sign on your website before you show them your plans, code, or product idea.

How Does the One-Way NDA Form Template Work?

The form opens with your confidentiality terms, written with [bracketed] placeholders you fill in once. Then it collects the signer’s details and signature:

  • Confidentiality Terms: A Content block that sets out what counts as confidential, what the signer agrees to do, how long the duties last, and which laws apply.
    • Only your side shares information, so it works as a unilateral NDA, an employee confidentiality agreement, a contractor NDA, or an NDA for an idea you’re pitching.
  • Your Details: The signer’s full name, their relationship to you, their address, email, and phone.
    • Contractors and investors can add the company they’re signing for. That field only appears when it’s relevant.
  • Signature: An agreement checkbox, the signer’s signature, and the date signed.
    • Add the PDF addon to keep a signed copy of each NDA with the entry.

You’ll get an email each time someone signs, and they’ll get a copy of what they agreed to. Edit the terms, the relationship choices, or any label in the drag-and-drop builder. If both businesses will be sharing information, use the Mutual NDA Form Template instead. Confidentiality rules vary by location and by type of worker, so have your terms reviewed for your area before you use them.
