Mutual Non-Disclosure Terms

This Mutual Non-Disclosure Agreement is between [Your Company Name], [your business address] ("we"), and the company named below ("you"). It takes effect on the date you sign.

  1. Purpose. We'll each share confidential information so we can explore the purpose you choose below, and for no other reason.
  2. What's confidential. Any non-public business, technical, financial, product, or customer information either of us shares, in any form, that's marked confidential or that a reasonable person would treat as confidential.
  3. What isn't. Information that's already public through no fault of the party receiving it, that party already knew, it develops independently, or it gets lawfully from someone else.
  4. What we each agree to. Use the other's information only for the purpose, share it only with employees and advisers who need it and have similar confidentiality duties, and protect it at least as carefully as our own.
  5. Required disclosure. If a law or court requires disclosure, the party receiving the request will tell the other first, where allowed.
  6. Return or deletion. When either of us asks, or when talks end, the other returns or deletes the information.
  7. No other commitment. This doesn't transfer ownership, grant a license, or oblige either of us to go ahead with a deal.
  8. Term. These duties last [2] years from the effective date [and, for trade secrets, for as long as they remain trade secrets].
  9. Governing law. [Your state, province, or country].

Do you share confidential details with other businesses before a deal is signed? The Mutual NDA Form Template gives you a mutual non-disclosure agreement the other company can read, fill in, and sign on your website, so both sides have agreed to the terms before the first meeting.

Use it as a mutual NDA, two-way NDA, or bilateral confidentiality agreement for partnership talks, joint ventures, vendor and supplier evaluations, investor or acquisition discussions, and other B2B projects. If only your side is sharing information, use the One-Way NDA Form Template instead.

How to Use the Mutual NDA Form Template

Start with the terms at the top of the form. They use [bracketed] placeholders for your company name and address, how long the duties last, and the governing law, so you can fill them in without rewriting the whole agreement.

Below the terms, the other company fills in:

  • Company or Organization Name
  • Company Address
  • Authorized Signatory
  • Job Title
  • Email
  • Phone
  • What our companies will be discussing
  • Agreement, Authorized Signature, and Date Signed

The discussion question lists common reasons two companies sign an NDA, with an Other choice for anything else. Change the choices to match the deals you usually do.

The signer confirms they’ve read the terms and can sign for their company, then signs and dates the form. Add the PDF addon if you’d like a PDF of each signed NDA to countersign and send back.

You’ll get an email for every signed NDA, and the signer gets a copy of what they submitted.

You can rename fields, edit the choices, or add your own clauses in the drag-and-drop builder. NDA rules differ between countries, states, and provinces, so have your terms reviewed for your area before you use the form.
